My friend that owns a store bought one then never used it and is offering to sell me his lisc... He bought it in DEC 2017... And will transfer his lisc / root to me if I buy it... Will that work? or does that breaks terms of service? or what...

If the license is eligible for transfer, he can transfer it to you.
There is a $45 USD fee to transfer a license, IF the license is allowed to be transferred at all. Where the license was purchased, when it was purchased, the version of the software, and the status of the license all figure into the equation. The work needed behind the scenes to complete a safe license transfer is more than you may think.
Not all licenses can be transferred and purchasing a second hand license is risky, you must have a lot of trust in who you are purchasing from. We've seen times when one person sells the same license more than once, or even a fake license, and in these cases the new forum owner must either purchase a real license at normal price or have their sites shut down. Sometimes it isn't deliberate, a perfectly honest seller may not know his site had been compromised weeks or months ago and the copy later gets used by pirates. Again, unfortunately, all sites using that license are then in violation of the license agreement.
You can reduce (but not eliminate) the risk of purchasing a second hand license by asking the buyer to supply you their license ID and name and you can email [email protected] and ask if the license is eligible for transfer and we can answer a simple Yes or No. A "yes" doesn't guarantee you won't run into a problem but a "no" will stop you from wasting your money.
The only safe license is a new license.
To begin a license transfer, the original owner needs to email [email protected] requesting a transfer.
