Is it possible to download post/thread/member info then upgrade?

Is it possible to:
Download and save forum info (posts, threads, forums, styles, members)
Download the latest forum software
Upload all the old info?

Reason we want to do this is our pHp is LOADED with things that don't work any longer (search does not work etc etc).

Install it.
Use Impex to import "posts, threads, forums, styles, members"
I'm not sure that importing styles is possible with Impex.

You can just go into the Style Manager in the Admin CP and download it from there. Then, you can use the Style Manager to upload it.

You should definitely do a full MySQL database backup (your forum info, posts, threads, members, etc.) before attempting any backup. This is whether your forum is working perfectly or not.
