I am just wondering which is the best to choose from the following for a vB forum..

Intel Dual Xeon 2.8GHz , 2GB RAM
vs
Intel Pentium D Dual Core 3GHz , 2GB RAM
vs
AMD 64 X2 Dual Core 4200+ 2.2GHz Dual Core , 4GB RAM

all r having 100MBPS Uplink and I a least worried about the HDD capacity, and there isn't much price difference among the above servers.

What would u guys suggest, which 1 performs better ,processor and memory wise?

These two parameters would play an important role:

1.Max number of concurrent users

2.Average number of concurrent users

As you have 100MBPS Uplink on all the options, I would recommend Intel Dual Xeon 2.8GHz , 2GB RAM.

What kind of chip is the Xeon? If it's a 'Netburst' core then I'd say that the 4200+ would be the fastest, particularly since it's got twice the RAM. If it's a 'Core' core then it's MUCH faster but may be hobbled by the lack of RAM depending on the number of users on your site.

EDIT: I reread your post and you wrote "Dual Xeon", not "Xeon Dual-Core", so it's almost certainly a Netburst chip. In that case, assuming that the hard drive specs are all the same, go with the 4200+.
